Located in Global HQ in Akron, Ohio the Senior Director Corporate
Development will report directly to the VP of Strategy & Business
Development. He/She will support the company's growth as a leader
on a team managing complex acquisitions, divestitures, and
strategic initiatives. They will partner with our business segments
to develop and action their strategies and M&A objectives and
they will work to develop, perform, and oversee the analysis of
potential acquisition candidates, oversee and perform complex
financial modeling and lead the negotiation and execution of
selected business transactions. In addition, the position partners
with senior leaders to execute and inform on negotiation strategies
and relevant support activities. Job Duties / Responsibilities may
include, but are not limited to:
- Lead M&A target sourcing, deal execution, deal negotiation
and similar tranasctions (Joint Ventures, partnerships, strategic
minority investments, venture investments, etc..) across all
business lines and corporate activiites globally Contribute to all
aspects of strategic acquisitions from inception, business
justification through due diligence, valuation, negotiation,
closing and integration
- Coordinates across senior leadership team to ensure proper
internal and external communication for completed transactions.
Coordinates with business unit leads across business lines,
functional areas and geographies to ensure the appropriate
integration teams are put in place for successful integration post
acquisition
- Oversee, conduct and review the design, build, execution and
explanation of complex financial models and other analytical
project work; make recommendations accordingly. Partner with
division leaders across the organization to lead divestitures,
including preparation of sales materials, financial disclosures,
valuation, outreach, negotiation, signing and closing. Coordinate
with leadership teams to manage the pipeline of targeted
acquisition opportunity
- Educate executive and management committees about targeted
growth opportunities and divestiture needs based off market
analysis and market trends. Targeted outreach to strategic,
investment banks and private equity to source opportunities aligned
with division needs and enterprise strategies.Develop and maintain
relationships with key stakeholders - investment banks and private
equity companies to ensure Goodyear is considered for future deals
that fit our strategies and growth objectives. Monitor industry
activities and develop recommendations of potential M&A
opportunities to senior leadership. Develop new portfolio review
process -
- Develop internal talent, train others in the Corporate
Development team on M&A activities and processes. Attract and
recruit external talent as required to build an effective team.
Coach and develop the team on deal strategy, advanced valuation
techniques, deal management, effective due diligence, influencing
others and negotiation skills. - Key Experience:
- 10+ years of global business experience; at least 5 years
experience in M&A
- Strong financial and strategic skillsets
- Willing to travel up to 50% of the time
- Have experience leading negotiations with the ability to
listen, compromise and manage conflict
- Past experience in owning the results of a transaction post
close
- Variety of types of deals Buy, Sell, Minority Investments,
Venture Investments, Partnerships, etc.
- Be creative, intellectually curious, self-starting and possess
a strong work ethic
- Possess strong judgement to form independent points of view on
risks and opportunities on deals
- Communicate clearly and concisely, distilling complex subjects
into actionable deliverables
- Demonstrate presence, credibility, integrity, and
trustworthiness in highly confidential situations
- Build, critique, and refine financial models with strong
financial, quantitative and analytical skills to provide and defend
